Marty is a transactional lawyer with broad and deep experience advising clients in a wide variety of financing, securities, venture capital and corporate matters.
Marty represents venture capital and private equity funds, both in their formation and their investment transactions and has been one of premier attorneys in helping to create and grow the vibrant market for secondary, late-stage venture investments. Marty has formed several families of funds and handled their investment transactions in companies such as Facebook (now Meta), LinkedIn, Twitter (now X), Lyft, Airbnb, Pinterest, DraftKings, Impossible Foods, WeWork, DocuSign, Dropbox, Palantir, Spotify, SpaceX, Anthropic, Anduril, xAI, Cohere, Perplexity and Databricks, among others.
Marty also represents placement agents, investors and operating companies in private placement offerings of equity, debt and/or hybrid securities across a broad range of industries. In his corporate governance practice, Marty is frequently called upon to represent independent directors in transactions in which conflicts of interest among the parties require that such transactions are reviewed and approved by independent directors to ensure that shareholder interests are adequately protected.
During his over thirty years of practice Marty has also represented clients in designing and issuing a broad array of complex securities; mergers and acquisitions; capital markets; joint ventures and strategic alliances; secured, mezzanine and unsecured loans (both as lender counsel and borrower counsel) as well as general corporate and business matters.
Prior to joining Rimon, Marty was a partner at securities boutique firm Littman Krooks LLP, served as Senior Vice President and General Counsel of a Nasdaq traded high-tech company where he was also responsible for global joint ventures, and began his career with the distinguished New York firms of Schulte Roth & Zabel (now McDermott Will & Schulte) and Seward & Kissel. Marty is an honors graduate of Hofstra University, where he was a member of the varsity football and lacrosse teams, and Boston University School of Law, where he was a Note and Case Editor of the Law Review.
